Terms and Conditions of Sale of The Box
- Purpose of the Contract
These general terms and conditions of sale govern the contractual relationship between La Boîte agency (hereinafter referred to as “the Agency”) and its customers (hereinafter referred to as “the Customer”). They apply to all services provided by the Agency, as described in the quotation or contract concluded between the parties.
- Services
The Agency undertakes to provide the Customer with the following services:
- Web development and e-commerce
- Paid advertising
- Referencing
- Email & SMS Marketing
- Social media marketing
- Creation and motion design
- Branding, creative and marketing strategy
- Web data and analysis
- Terms of payment
Payment for the Agency’s services is made according to the terms agreed between the parties and indicated in the quotation or contract. Any delay in payment may result in late payment penalties in accordance with current legislation.
- Intellectual Property
All intellectual property rights to the creations produced by the Agency remain the exclusive property of the Agency until full payment of all sums due by the Customer.
- Customer’s responsibilities
The Customer undertakes to provide the Agency with all the information and resources required to carry out the services within the agreed deadlines. The Customer is also responsible for the accuracy and legality of any content provided to the Agency.
- Privacy
Both parties undertake to maintain the confidentiality of information exchanged in the course of providing services and not to divulge it to third parties without prior written consent.
- Disputes and Applicable Law
Any dispute arising from the present contract will be submitted to the competent jurisdiction of the place where the Agency is established. This contract is governed by French law.
By signing the quotation or contract, the Customer acknowledges having read, understood and accepted the present general terms and conditions of sale of Agence La Boîte.
- Modification and Termination
Any modification or termination of the contract must be agreed in writing by both parties. In the event of early termination by the Customer, the latter undertakes to pay the Agency for services already rendered up to the date of termination, as well as any expenses incurred by the Agency in the performance of the contract.
- Warranty
The Agency undertakes to provide its services with professionalism and diligence. However, the Agency cannot guarantee the specific results of the services provided, given the changing and competitive nature of the market.
- Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under the contract if such delay or failure is due to force majeure, as defined by law.
- Communication
Any communication between the parties may be in writing, by e-mail or by any other mutually agreed means of communication.
- Divisibility
If any provision of these terms and conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed to best reflect the intentions of the parties.
By signing the quotation or contract, the Customer acknowledges having read, understood and accepted the present general terms and conditions of sale of Agence La Boîte.
- Acceptance
Acceptance of these terms and conditions of sale is evidenced by the Customer’s signature of the quotation or contract. Any modifications or additions to these conditions must be expressly accepted in writing by both parties.
- Contract language
This contract is written in French. In the event of translation into another language, the French version shall prevail in the event of dispute.
- References
The Customer authorizes the Agency to quote its name and/or logo in its commercial references, unless otherwise expressly indicated by the Customer.
- Independence of the parties
The parties acknowledge that they are acting as independent contractors and that nothing herein shall be construed as creating a partnership, joint venture or agency relationship between them.
By signing the quotation or contract, the Customer acknowledges having read, understood and accepted the present general terms and conditions of sale of Agence La Boîte.
